Transaction Highlights

• RA Capital Advisors was engaged to assist Gerber Scientific, Inc. (NYSE: GRB) in its acquisition of Virtek Vision International Inc. (TSX: VRK), a leading provider of laser-assisted production solutions and marking and engraving systems.
  • Virtek shareholders received cash of C$1.05 per share for a total transaction value of C$35.2 million.
• The transaction resulted in the acquisition of a high quality asset by Gerber that is expected to be accretive to Gerber’s earnings in their current fiscal year.
  • Gerber, with the assistance of RA Capital Advisors, was successful in acquiring Virtek at an attractive price after Virtek was subject to a hostile bid and had negotiated a transaction to sell it’s most profitable segment to another company.
  • Additionally, Gerber was able to complete the transaction after an activist shareholder acquired a 19.9% stake in Virtek and initially opposed the acquisition by Gerber.
• The transaction reinforces RA Capital Advisors’ position as a leading financial advisor on both buy- and sell-side engagements.
  • RA Capital Advisors developed strategies that enabled Gerber to complete an acquisition involving multiple bidders and interested parties.
